DoorDash Addendum to the Equipment Subscription Agreement

This Addendum ("Addendum") modifies the existing Equipment Subscription Agreement between My Device Inc., a Delaware corporation, d/b/a Whizz (“Whizz,” “Company,” or “we”), and the User ("User") of the subscription-based rental services for electric bicycles (“E-Bikes,” “bicycles,” “bikes,” “equipment,” or “property”).

By clicking “I Agree”, you (i) confirm that you have read and understood Addendum to the Equipment Subscription Agreement’s terms, (ii) agree to enter into this Addendum to the Equipment Subscription Agreement, (iii) confirm that you have the legal capacity to enter into this Addendum to the Equipment Subscription Agreement, (iv) acknowledge that this Addendum to the Equipment Subscription Agreement constitutes a legally binding contract between you and the Company. IF YOU DO NOT ACCEPT OR UNDERSTAND THIS ADDENDUM, PLEASE DO NOT PROCEED WITH THE ADDENDUM.

I. Doordash Program term. The Doordash program duration is 5 months from the date of your enrollment in the Doordash Program. The Doordash Program is divided into 5 periods, each lasting 1 month. The first period ("Initial Month") starts upon the date of your enrollment in the Doordash Program. Upon termination of the Initial Month, the subsequent period starts, and upon its expiration starts another subsequent period ("Subsequent Month"), reaching a total duration of the Doordash Program.

II. Doordash Program Discount. On the Initial Month User is entitled to an advance discount of $50 for the E-bike rental under Equipment Subscription Agreement, provided that User joins the Doordash program and meets the following requirements: User must complete at least 25 deliveries through the Doordash service within the Initial Month. In addition, if the User completes at least 75 deliveries within the Initial Month, or any Subsequent Month while User remains eligible for the discount program, they will be eligible for a $50 discount on the next Subsequent Month of subscription. If User fails to complete at least 75 deliveries during any Subsequent Month, User will no longer be eligible for the discount in any later Subsequent Month.This discount will be issued post-factum as a bonus point to the User's bonus account, which will be applied towards partial payment for the next Subsequent Month's subscription renewal. No further performance requirements apply for retaining this discount once issued.

III. Account Ownership Verification. User must confirm that User is a courier for DoorDash and that the account belongs to User. Company reserves the right to verify this by any means necessary.

IV. Breach of Terms.  If User fails to meet the conditions specified in Sections II and III during the Initial Month, Company is entitled to charge User’s authorized credit or debit card in the amount of $50 discount from received by User in advance for the Initial Month.For the avoidance of doubt, if User fails to meet the applicable conditions during any Subsequent Month, no $50 discount shall be granted for such Subsequent Month, and User shall be charged the full applicable subscription fee for that month. This amount will be considered repayment of the $50 discount received by User in advance for the Initial Month and will be deducted concurrently with the payment for the next Subsequent Month. If Company cannot deduct $50 from User’s account, the same provisions for late payment in Equipment Subscription Agreement will apply. Additionally, Company reserves the right to use the deposit to cover any fees or charges owed by User to Company, including the outstanding amount resulting from the repayment of the $50 discount.

V. Early Cancellation and Deposit Withholding: If User cancels the Equipment Subscription Agreement before the end of the Initial Month or the Subsequent Month, Company reserves the right to withhold the deposit until the end of this period. This ensures that User has a full month to meet the conditions specified in Section II of this Addendum to the Equipment Subscription Agreement. User's breach of terms as described in Section IV during the Initial Month or the Subsequent Month does not allow the User to participate in the Doordash Program in all remaining Subsequent Months.

VI. Precedence of Agreement Terms. Except as set forth in this Agreement, all other terms and conditions of Equipment Subscription Agreement shall remain in full force and effect. Only where the terms of this Agreement are specifically contrary to or inconsistent with the terms of Equipment Subscription Agreement will the terms of this Agreement supersede the terms of Equipment Subscription Agreement.

VII. Consent to Data Transfer for Program Participation. User consents to Company transferring their personal data to DoorDash, Inc., dba “DoorDash”, Delaware corporation, for participation in the Doordash program. 

VIII. Effectiveness of the Addendum. This Addendum becomes effective upon its execution by both parties and remains in effect until modified or terminated in accordance with the terms of the Equipment Subscription Agreement. The Company does not guarantee the availability of specific bicycle models or subscription rates. All rentals are subject to current availability at the time of subscription.

Addendum to the Equipment Subscription Agreement Supplement for California Residents

  1. Section II shall be read as:

II. Doordash Program Discount. In addition, if the User completes at least 75 deliveries within the Initial Month, or any Subsequent Month while User remains eligible for the discount program, they will be eligible for a $50 discount on the next Subsequent Month of subscription. If User fails to complete at least 75 deliveries during any Subsequent Month, User will no longer be eligible for the discount in any later Subsequent Month.This discount will be issued post-factum as a bonus point to the User's bonus account, which will be applied towards partial payment for the next Subsequent Month's subscription renewal. No further performance requirements apply for retaining this discount once issued. These discounts are promotional in nature and are subject to San Francisco and California consumer protection laws.

  1. Section III shall be read as:

Company reserves the right to verify courier status through direct communication with DoorDash or by other lawful means, in accordance with California Consumer Privacy Act (CCPA) and other applicable privacy regulations.

  1. Section IV shall be read as:

IV. Breach of Terms.  If User fails to meet the conditions specified in Sections II and III during the Initial Month, Company is entitled to charge User’s authorized credit or debit card in the amount of $50 discount from received by User in advance for the Initial Month.For the avoidance of doubt, if User fails to meet the applicable conditions during any Subsequent Month, no $50 discount shall be granted for such Subsequent Month, and User shall be charged the full applicable subscription fee for that month. This amount will be considered repayment of the $50 discount received by User in advance for the Initial Month and will be deducted concurrently with the payment for the next Subsequent Month. If Company cannot deduct $50 from User’s account, the same provisions for late payment in Equipment Subscription Agreement will apply. Additionally, Company reserves the right to use the deposit to cover any fees or charges owed by User to Company, including the outstanding amount resulting from the repayment of the $50 discount. If Company cannot deduct $50 from User's account, the same provisions for late payment in the Equipment Subscription Agreement will apply, including any grace periods or notice requirements mandated under California law.

Additionally, Company reserves the right to use the deposit to cover any fees or charges owed by User to Company, including the outstanding amount resulting from the reversal of the $50 discount, subject to applicable California and San Francisco laws.

  1. Section V shall be read as:

V. Compliance with Automatic Renewal Law. 

As this Addendum modifies a subscription service, Whizz complies with California’s Automatic Renewal Law (Bus. & Prof. Code  §§ 17600–17606). Key terms include:

  • The promotional discount does not alter the recurring nature of your subscription;

  • After the promotional period, regular subscription fees apply unless cancelled in accordance with the Agreement;

  • Users may cancel the subscription at any time through their account dashboard, with no penalty for not continuing beyond the promotional period;

  • A clear renewal reminder will be provided before any charges are made following the discounted period, as required under California law.

  1. Section VI shall be read as:

VI. Precedence of Agreement Terms. Except as set forth in this Addendum, all other terms and conditions of the Equipment Subscription Agreement shall remain in full force and effect. Only where the terms of this Addendum are specifically contrary to or inconsistent with the terms of the Equipment Subscription Agreement will the terms of this Addendum supersede the terms of the Equipment Subscription Agreement.

  1. Section VII shall be read as:

VII. Consent to Data Transfer for Program Participation. User consents to Company transferring their personal data to DoorDash, Inc., dba “DoorDash”, Delaware corporation, for participation in the Doordash program.

By agreeing to this Addendum, User explicitly consents to the limited sharing of personal information with DoorDash, Inc., solely for the purposes of verifying User's participation in the DoorDash delivery program and for participation in the Doordash program.

Such data sharing will comply with the California Consumer Privacy Act (CCPA) and San Francisco’s local privacy protections, and may include the User’s name, email address, device ID, and verification of delivery activity. No unrelated data will be shared without additional consent.

  1. Section VIII shall be added and read as:

VIII. Effectiveness of the Addendum.
